Terms of Service

By creating an account or using the Hallie app and related services (the "Service"), operated by Halite Intelligence, Inc. ("Halite Intelligence," "Hallie," "we," "us," or "our"), you agree to these Terms of Service and to our Privacy Policy, which is incorporated by reference.

Hallie lets you track beauty and personal care products you use, log your routine, answer preference quizzes, chat with an AI assistant, and earn points redeemable for cash payouts. Hallie is currently an early-access test of features that inform future products.

You are responsible for the accuracy of the information you provide and for maintaining the confidentiality of your account credentials. You must be at least 16 years old to use the Service.

By creating an account and providing any required consents, you acknowledge that Hallie operates a network that enables participating beauty and personal care brands to personalize user experiences. Where you have provided consent, Hallie may share your Beauty Identity and related profile information with participating partner brands as described in the Privacy Policy. You may withdraw your consent at any time through your account settings, subject to legal and operational limitations.

You may earn points for certain activities within the Service. Points have no cash value until redeemed through a payout request, are subject to the thresholds and rules displayed in the app, and may be adjusted or revoked if earned through fraudulent activity, abuse, or in error. We may change the points program, including point values and payout thresholds, at any time.

You agree not to:

• Provide false or misleading information
• Attempt to manipulate points, rewards, or payouts
• Interfere with or disrupt the Service
• Use the Service for any unlawful purpose
• Attempt to access another user's account

The Service, including any AI-generated recommendations, is provided "as is" without warranties of any kind. Hallie is not liable for any indirect, incidental, or consequential damages arising from your use of the Service, to the maximum extent permitted by law.

You may stop using the Service and delete your account at any time from your Privacy Dashboard. We may suspend or terminate accounts that violate these Terms.

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles, except where local consumer protection law requires otherwise.

Please read this section carefully — it affects your legal rights, including your right to file a lawsuit in court.

Agreement to arbitrate.You and Halite Intelligence agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Service (a "Dispute") will be resolved by binding, individual arbitration rather than in court, except that either party may bring an individual action in small claims court.

Arbitration procedures.Arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect. The arbitration will be conducted by a single arbitrator and, at the option of the party seeking relief, may be conducted by telephone, video conference, or based on written submissions. Any judgment on the arbitrator's award may be entered in any court of competent jurisdiction.

Class action and jury trial waiver. You and Halite Intelligence each waive the right to a trial by jury and the right to participate in a class action, class arbitration, or representative action. Disputes will be arbitrated only on an individual basis, and claims of more than one person cannot be arbitrated or consolidated with those of any other person.

30-day opt-out. You may opt out of this arbitration agreement by sending written notice to hallie@haliteintelligence.com within 30 days of first accepting these Terms, including your name and a clear statement that you wish to opt out of arbitration. Opting out does not affect any other part of these Terms.

Exceptions. Either party may bring a lawsuit in court solely for injunctive relief to stop unauthorized use or abuse of the Service, or infringement of intellectual property rights, without first engaging in arbitration.

Severability. If any part of this arbitration agreement is found unenforceable, the remainder will remain in force, except that if the class action waiver is found unenforceable, the entire arbitration agreement will be null and void and Disputes will be resolved in court as set out in Section 9 (Governing Law).

We may update these Terms from time to time. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.
